Rocket Lab USA Clears Another Iridium Hurdle, Keeping End-to-End Space Strategy in Focus (RKLB)

Rocket Lab USA (RKLB) announced last night that Iridium stockholders approved the previously announced merger agreement. While the vote itself is largely procedural, it advances RKLB's plan to combine Iridium's global network, spectrum and operating experience with its own launch and space systems capabilities, expanding further into space applications.

  • End-to-end platform: Iridium adds the applications layer to RKLB's launch and space systems capabilities, allowing the combined company to design and manufacture satellites, launch and replenish constellations, operate the network and sell the services delivered through it.
  • Transaction progress: The shareholder vote follows RKLB's completion earlier this month of a $1.944 bln ATM offering, which, together with available liquidity and Iridium's amended $1.775 bln term loan, fully funds the acquisition. RKLB also terminated the original $3.6 bln bridge facility, de-risking the financing ahead of the targeted mid-2027 close.
  • Recent results: Q2 highlighted strong underlying momentum, with revenue rising 62% yr/yr to a record $234 mln and backlog increasing 137% to a record $2.36 bln. However, adjusted free cash flow remained negative at $(110.1) mln as RKLB continued to invest heavily in Neutron and other growth initiatives.
  • Looking ahead: Neutron remains a key execution point, with management previously noting that the window for a year-end first launch is narrowing. The reusable medium-lift rocket is designed for constellation deployment and could eventually launch and replenish Iridium satellites, further tying RKLB's launch capabilities to its broader space applications strategy.

While today's shareholder approval is largely procedural, it removes another hurdle as RKLB moves closer to adding the applications layer to its existing launch and space systems businesses. In the meantime, execution across the existing platform remains solid, with Electron completing its 96th mission and 17th launch of 2026 earlier this month. Q2 also showed strong underlying momentum with record revenue and backlog, although free cash flow of $(110.1) mln highlights the investment required to support Neutron and other growth initiatives. Longer term, Iridium would move RKLB closer to an end-to-end space platform, while Neutron remains the key near-term execution point for the launch side of that strategy.
