Martin Marietta Expands Specialties With Lhoist Deal, but Valuation and Leverage Weigh (MLM)

Martin Marietta (MLM) is lower after agreeing to combine with Lhoist North America in a cash-and-stock transaction valued at approximately $13.5 bln. The deal would make MLM the leading U.S. producer of lime and limestone while materially expanding its higher-margin Specialties business. However, shares appear pressured by the purchase price, added leverage, and meaningful stock issuance, as the transaction values LNA at roughly 15x adjusted EBITDA including expected synergies and would increase combined net leverage to approximately 3.7x at closing.

  • Growth exposure: The combination would broaden MLM across infrastructure and industrial markets, including highways, data centers, semiconductor facilities, LNG projects, steel, water treatment, environmental applications, and agriculture.
  • Valuation and leverage: Consideration consists of $7.0 bln in cash and $6.5 bln in MLM shares. The company expects approximately $85 mln of annual run-rate cost synergies within two years and plans to reduce leverage from approximately 3.7x at closing to below 2.5x within 24 months.

MLM is a major supplier of aggregates and other building materials, with much of its business built around owning reserves, operating quarries, and serving local and regional markets. Lhoist fits naturally with that model because lime carries many of the same attractive characteristics as aggregates, including long-lived reserves, substantial capital and permitting requirements, limited substitutes, and favorable transportation economics. The acquisition would significantly expand MLM's higher-margin Specialties business while adding strong cash generation, contracted revenue, and broader exposure to infrastructure and industrial investment.
