C.H. Robinson Lower on RXO Deal as Leverage, Execution Concerns Weigh (CHRW)

C.H. Robinson (CHRW) is sharply lower today after announcing an agreement to acquire RXO, Inc (RXO) in a stock-and-cash transaction with an implied enterprise value of $5.8 bln. RXO stockholders will receive $17.25 in cash and 0.0856 shares of CHRW for each RXO share, implying total consideration of $30.25 per share, a 29% premium to RXO's Friday closing price. CHRW is a global logistics provider with a broad multimodal platform spanning North American surface transportation and global forwarding, while RXO is more concentrated in North American truck brokerage, with additional last-mile and managed transportation capabilities.

  • The acquisition brings together two complementary networks and strengthens CHRW's multimodal platform, adding greater network density and expanding its capabilities across truck brokerage, managed transportation, expedited and last mile. CHRW believes the combination will increase penetration across customer verticals while creating cross-selling opportunities.
  • CHRW expects approximately $300 mln of net run-rate cost synergies within two years of closing, primarily by applying its Lean AI operating model to RXO through cost-to-serve efficiencies, shared-services savings and third-party spend optimization. The transaction is expected to become adjusted EPS accretive within nine months of closing and mid-teens accretive to adjusted EPS in 2028.
  • The deal also increases leverage and temporarily limits capital returns. CHRW will finance the cash consideration with new debt, while RXO shareholders are expected to own roughly 11% of the combined company. CHRW expects net leverage of approximately 2.9x at closing on a synergized basis and plans to pause share repurchases until leverage returns to its 1.75-2.25x target range, expected by year-end 2028.

Briefing.com Analyst Insight

While RXO expands CHRW's scale, network density and capabilities across North American surface transportation, CHRW also sees an opportunity to apply its Lean AI operating model across RXO and generate meaningful efficiencies. However, the sharp decline today reflects the substantial premium being paid, added leverage, share issuance and reduced near-term capital return flexibility, with CHRW planning to pause share repurchases until leverage returns to its target range. Ultimately, the deal puts greater weight on execution, with investors looking for CHRW to deliver the planned $300 mln of synergies and translate the added scale into sufficient earnings growth to justify the acquisition price.
