Sandisk plunges as modest Q2 revenue upside and Q3 caution cloud strong results (SNDK)
Sandisk (SNDK) is plunging lower despite exceeding Q1 expectations, as modest Q2 revenue-guidance upside and management’s caution about March-quarter seasonality appear to overshadow exceptional Datacenter growth. Strong contractual visibility and cash generation support the longer-term outlook, but consumer weakness and expectations for only modest further pricing increases complicate the near-term growth picture.
  • Adjusted EPS of $49.51 exceeded the $46.67 FactSet Consensus, while revenue rose 23% sequentially to $11.03 bln versus $10.72 bln expected. Q2 guidance calls for $55-$57 adjusted EPS versus $53.60 consensus and $12.2-$12.6 bln revenue versus $12.31 bln, putting the sales midpoint just 0.7% above expectations. EPS figures are pre-split.
  • Datacenter revenue surged 61% sequentially to $4.8 bln, supported by enterprise SSD adoption and three U.S. hyperscalers, lifting its revenue share to 43.5% from 11.7% a year earlier. Edge grew 7% sequentially to $5.832 bln, but Consumer declined 29% to $397 mln as higher pricing pressured demand. Volume contributed 60% of total sequential revenue growth and pricing 40%.
  • Adjusted gross and operating margins reached 85.1% and 80.4%. Q2 gross-margin guidance of 84.5-85.5% implies stability, while expense guidance allows modest operating leverage. However, management advised conservative fiscal Q3 sequential-growth assumptions given historical seasonality, without issuing formal guidance.
  • Eight NBM customers underpin $93.9 bln of minimum contracted revenue at floor pricing and $88.9 bln of remaining performance obligations. Agreements cover approximately half of FY27 bits and two-thirds of FY28 bits, with 95% involving investment-grade customers. The prospective pipeline exceeds supply through decade-end but is not entirely contracted.
  • Management forecasts approximately 40% Datacenter NAND bit-demand growth in calendar 2027 while maintaining company bit-growth plans in the mid-to-high teens. FY27 gross CapEx should rise to a mid-single-digit percentage of revenue. BiCS8 and QLC support current expansion, while 2027 high-bandwidth flash samples offer potential upside excluded from the long-term model.
  • Adjusted free cash flow rose 13% sequentially to $5.7 bln, excluding $465 mln of NBM advances/deposits, although its margin declined to 51.6%. Quarterly buybacks totaled $5 bln, with $10.5 bln authorized remaining; cash was $5.1 bln with no debt. Eight-for-one split-adjusted trading begins November 20.

Briefing.com Analyst Insight

Contractual pricing floors and greater Datacenter exposure provide meaningful protection against traditional NAND cyclicality, but do not eliminate seasonal volatility or customer execution risk. Sustaining exceptional profitability requires disciplined supply growth, successful product transitions, and cash conversion as investment increases. Consumer weakness demonstrates that pricing power has limits, while expanding AI storage requirements and agreement renewals offer a path to durable earnings beyond the current pricing cycle. With gross margins expected to stabilize near 85%, further earnings growth will increasingly depend on shipment gains, operating expense discipline, and share repurchases rather than additional margin expansion.
