DoorDash delivering strong gains as solid Q3 results support Instacart expansion into grocery (DASH)
DoorDash (DASH) is trading sharply higher as a Q3 earnings beat and its approximately $17 bln acquisition of Instacart (CART) strengthen the case for expanding profitably beyond restaurant delivery. CART is trading lower despite the $65/share agreement, following its substantial advance after Monday’s WSJ report of acquisition discussions, suggesting some takeover enthusiasm was already reflected in the shares.
  • DASH’s EPS of $1.06 beat the $0.81 FactSet Consensus, while revenue increased 34% to $4.62 bln versus $4.56 bln expected. Marketplace GOV rose 36% to $33.9 bln, although excluding Deliveroo, GOV and revenue growth were both 23%; adjusted EBITDA increased 41% to $1.06 bln, and free cash flow rose 9% to $787 mln.
  • GOV guidance of $35.4-$36.4 bln supports continued expansion, but adjusted EBITDA of $900 mln-$1.10 bln implies a sequential decline at the midpoint as investment continues. Merchant-payment timing is also expected to reduce reported FY26 free cash flow by $700-$800 mln, relevant as financing needs increase.
  • The $65/share headline value represents a 26% premium to CART’s unaffected October 22 close, with at least 75% cash and up to 25% stock, subject to elections and proration. That implies roughly $12.75 bln or more in cash consideration, funded through existing cash and debt. Committed bridge financing supports execution, while DASH targets investment-grade ratings.
  • CART brings grocery expertise, retailer software, and advertising capabilities to DASH’s logistics network. More than 50,000 additional stores for CART customers, combined memberships, and greater delivery density could improve retention and fulfillment economics. Retaining CART's app and enterprise products preserves retailer relationships.
  • CART’s Q3 revenue increased 17% to $1.095 bln, above the $1.07 bln FactSet Consensus, with GTV up 15%, orders up 10%, and advertising revenue up 23%. Adjusted EBITDA rose 23% to $342 mln and free cash flow reached $307 mln, but gross margin declined to 72% from 74%, and EPS of $0.60 missed by $0.03. Guidance is suspended because of the transaction.
  • DASH targets at least $500 mln of annual synergies over multiple years, net of investment, but plans to reinvest more than all first-year synergies before positive net benefits begin in year two. Closing is expected in late 2027 or 1H28, leaving substantial antitrust, financing, and integration exposure.

Briefing.com Analyst Insight

DASH's rally reflects stronger standalone execution alongside an acquisition that adds profitable grocery volume, advertising, and merchant technology. However, the transaction’s return depends on delivery efficiencies and cross-selling exceeding membership concessions, reinvestment, and financing costs. CART’s cash generation helps, but delayed synergy realization makes sustained organic growth and disciplined leverage essential to creating per-share value. Preserving grocers’ trust will also be critical, since retailer defections could weaken both the delivery density and advertising reach underpinning the acquisition’s economics. The lengthy closing timetable also means DASH must sustain its own grocery expansion and technology investments before accessing the combined network’s efficiencies, limiting near-term financial benefits.
