onsemi rallies as revised Synaptics deal eliminates share dilution, accelerates EPS accretion (ON)
ON Semiconductor (ON) is trading sharply higher after converting its proposed Synaptics (SYNA) acquisition from an all-stock transaction into a $123-per-share cash offer with an enterprise value of approximately $5.7 bln, versus roughly $7 bln originally announced. The revised structure eliminates acquisition consideration share issuance and is expected to deliver immediate non-GAAP EPS accretion upon the anticipated mid-2027 closing, compared with accretion within 18 months under the previous agreement.
  • The original agreement offered 1.350 ON shares per SYNA share, meaning its consideration fluctuated with ON’s stock price. The approximately $1.3 bln reduction compares announced enterprise values. Following review of an unsolicited competing proposal, SYNA’s board unanimously supported the amended transaction, which provides cash-value certainty while relinquishing shareholders’ participation in the combined company’s upside.
  • Management identified unquantified revenue opportunities and benefits from bringing some SYNA production in-house beyond the previously announced $200 mln in annual run-rate synergies. These incremental benefits are expected beyond the initial 18 months after closing and should be distinguished from immediate EPS accretion.
  • Funding combines existing cash with committed financing, including up to $2.45 bln in Morgan Stanley senior secured term loans. Management projects net leverage below 2.0x and plans to allocate free cash flow toward deleveraging and repurchases; the agreement has no financing closing conditions.
  • SYNA adds Astra edge-AI computing, wireless connectivity, software, and human-machine interface capabilities to ON’s power, sensing, and control portfolio, extending its opportunity into robotics, automotive, and other intelligent devices. Management expects the combination to support revenue growth and gross-margin improvement.
  • The FTC granted early termination of the HSR waiting period, but SYNA shareholder and other regulatory approvals remain outstanding.

Briefing.com Analyst Insight

ON is exchanging equity dilution for cash deployment and leverage, preserving existing shareholders’ participation in the combined company’s upside while accepting interest expense and reduced liquidity. The lower announced valuation and faster expected accretion strengthen the financial case, although EPS accretion does not establish an attractive return on invested capital. Management’s leverage projection and repayment intentions provide a starting framework, but borrowing costs, integration spending, and debt-reduction timing will determine repurchase capacity. Longer-term value creation depends on turning cross-selling opportunities into revenue and transferring production economically without disrupting customer relationships or product execution.
