[BRIEFING.COM] The major averages continue to tick higher, with the DJIA (flat) reclaiming its flat line at midday.
C.H. Robinson (CHRW 136.18, -21.54, -13.66%) is sharply lower today after announcing an agreement to acquire RXO, Inc. (RXO 28.33, +4.95, +21.17%) in a stock-and-cash transaction with an implied enterprise value of $5.8 billion. RXO stockholders will receive $17.25 in cash and 0.0856 shares of CHRW for each RXO share, implying total consideration of $30.25 per share, a 29% premium to RXO's Friday closing price.
While RXO expands CHRW's scale, network density and capabilities across North American surface transportation, CHRW also sees an opportunity to apply its Lean AI operating model across RXO and generate meaningful efficiencies. However, the sharp decline today reflects the substantial premium being paid, added leverage, share issuance and reduced near-term capital return flexibility, with CHRW planning to pause share repurchases until leverage returns to its target range. Ultimately, the deal puts greater weight on execution, with investors looking for CHRW to deliver the planned $300 mln of synergies and translate the added scale into sufficient earnings growth to justify the acquisition price.
